Terms and Conditions for Expert Consultants

General Rules

Nothing in these Terms of Engagement creates an employer-employee relationship or an expectation of employment. For the avoidance of doubt, the Specialist acts in his/her independent capacity and he/she is not an employee of Oxford Data Plan LTD ("GMR") which collects feedback through the Global Market Research domain. 


Upon being contacted by GMR to answer surveys, it is your responsibility to evaluate the Scope and determine, exercising due diligence, whether or not you are able to participate in a prospective survey.  You should decline participation, especially in the cases indicated below. You remain fully responsible in case you proceed with participating in a survey despite the below limitations:  


- If you know or reasonably suspect that by participating, you are violating any law or regulation; 


- If you know or reasonably suspect that your participation would result in a breach of any agreement with, or obligation towards, a third party; 


- If your participation would likely result in infringing any current and/or former employer obligations; 


- If you have not obtained appropriate consent or waiver from your employer prior to consulting through GMR, provided that such procedure exists or is applicable;  


- If your participation would likely result in the breach of a duty of confidentiality you are subject to;  


- If you know or suspect that the disclosure of data in a survey may give rise to any professional, regulatory or other conflicts;  


If you are working with Global Market Research (GMR) you agree to exclusively work with Global Market Research (GMR) for the purposes of regular data capture (i.e., surveys or calls at fixed time intervals) for the period of the collaboration. This does not affect ad-hoc work through expert networks (such as GLG)  


If you work at a company or an organization that has made or is under a tender (takeover) process that is currently taking place, or has acted on behalf of a company that is connected with said tender, you must decline participation if the project Scope is relevant to the market in which the above company is active.   


Individuals who work for publicly listed companies are explicitly excluded from participating and/or consulting through GMR

Responsibilities

If you are working with GMR you agree that:


- In Answering a survey, you will not discuss, or disclose, any confidential or proprietary information about a company that you are an officer, director or employee of, or have any association with; 


- Your answers in the survey will not result in the disclosure of confidential or proprietary information about your employer, or a company for which you serve as an officer or director or you are associated with, or other information you have a duty to keep confidential or you have obtained from any person who expects you to keep such information confidential or you could reasonably expect to be considered confidential; 


- Your answers will not result in the disclosure of any inside information or material non-public information concerning a company whose shares are traded on a recognized exchange or a quoted instrument; or trade secret;


- When answering a questionnaire, you will not give investment, accounting, legal and/or medical advice in the context of the Consultation  


- If you are a medical doctor (MD), or healthcare professional, participating in a clinical trial, you will not discuss about clinical trial results, or disclose information concerning patient experience, or any other material, before such results or data have been made public;  


- If you have worked in an accounting and finance department, of any company, within the last six (6) months, you will not discuss about any accounting or financial matters relating to that company, or that company's affiliates;  


- If you are an auditor or former auditor, you must not comment on companies you have audited, as part of your employment, the last three (3) years; and  


- If you are a government official or employee, you must not discuss about any government legislation, regulation, policy, contracts, or other affairs that you have the power to decide upon or are subject to your vote. 


If, while filling in a survey, you identify any reason(s) for which you may not, or should not, continue with the survey, you have the obligation to discontinue your participation.   If you identify a specific question(s) which you cannot respond to, you have the obligation to decline to do so. In any such event, you need to inform GMR immediately. 

Confidentiality

By participating in a survey, certain Proprietary and/or Confidential Information might be disclosed or become known to you. You hereby pledge not to disclose any such Information to third parties, in compliance with all the relevant laws and regulations.  


By accepting these terms, you grant GMR and GMR's client(s) and affiliates an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the information received by either party, the written material and other work produced by you in the context of the survey  (collectively "Shared Data"). The Shared Data will become the property of GMR and you agree to confirm in writing such ownership, upon request.  

Miscellaneous

GMR shall, under no circumstances, be liable to you for any direct or indirect or consequential loss or damage of any kind arising under or in connection with these terms. Nothing in this Agreement shall limit or exclude (or purport to limit or exclude) liability for the negligence of employees, agents or subcontractors, fraud or fraudulent misrepresentation.  


You remain fully liable for complying with these Terms of Engagement and you understand that GMR, or GMR's Client(s), may enforce these Terms of Engagement to protect their interests.   


In case any provision in these Terms of Engagement shall be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby and such provision shall be ineffective only to the extent of such invalidity, illegality or unenforceability.  


These Terms and any dispute or claim arising out of, or in connection with, them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by the Laws of England and Wales. Notwithstanding the above, GMR maintains the right to take proceedings before any other court of competent jurisdiction.
